B2B Terms and Conditions of Service

General conditions of supply for professional operators — Version of 5 November 2026. The Italian version is the reference text.

These general conditions apply to the relationship between Holocryptics.com, sole proprietorship of Alessia Mior («Holocryptics»), with registered office at Via Filippo Turati 17, 10086 Rivarolo Canavese (TO), Italy, VAT no. (P.IVA) 12693640018, and the venue, business or agency that signs an order form (the «Customer»). They are addressed to professional operators: the protections of the Italian Consumer Code, reserved for consumers, do not apply. The order form signed by the parties states the price, the installation site and the Customer's details and prevails over these conditions in case of conflict.

1. Subject matter

1.1. For the duration of the contract Holocryptics provides the Customer with (a) the right to use a holographic projection unit made up of hardware owned by Holocryptics (CPU, projector, Holocryptic Mesh screen, cables and accessories, the «Kit») and the related control software, and (b) access to a library of holographic performances («Performances»), controlled remotely by Holocryptics, in exchange for a subscription (the «Fee»).

1.2. The Kit is installed and used exclusively at the site stated in the order form (the «Site»).

2. Term, renewal and notice of non-renewal

2.1. The contract has an initial period of 3 (three) months from the date the Kit is delivered or, if earlier, the service is activated.

2.2. At the end of the initial period the contract renews automatically for successive periods of 12 (twelve) months each, unless notice is given.

2.3. Either party may prevent renewal by written notice given at least 30 (thirty) days before the end of the current period, by certified email (PEC) or registered letter with return receipt to the addresses stated in the order form, or by email to contact@holocryptics.com with acknowledgement of receipt by Holocryptics. Notice takes effect at the end of the current period; until then the Fee remains due.

2.4. The right to terminate the contract in the cases provided for in Article 12 remains unaffected.

3. Ownership and use of the hardware

3.1. The Kit always and exclusively remains the property of Holocryptics for the entire duration of the relationship, including renewals and the period after the initial period. In no case is ownership of the Kit transferred to the Customer, and no buy-out is provided for.

3.2. The Customer has only a personal, non-transferable right of use, limited to the Site. The Kit may not be sold, sub-licensed or made available to third parties, nor given as security.

3.3. Any move of the Kit to a different location, or its disconnection, requires the prior written authorisation of Holocryptics, which may make it subject to payment of an administrative fee stated in the order form or notified in writing before the move.

3.4. The Customer may not remove, alter or cover trademarks, serial numbers and ownership markings on the Kit.

4. Installation, maintenance and responsibility for the Kit

4.1. The Customer connects the Kit to the mains and, where available, to the internet; the management of content, scheduling and control is carried out remotely by Holocryptics. The Kit can also work without a connection, playing the content stored on the unit.

4.2. The Customer uses the Kit with the diligence of a reasonable person, in accordance with the instructions received, keeps it in a suitable place and does not tamper with it or open it. Maintenance, repair and replacement are carried out exclusively by Holocryptics or by persons it appoints.

4.3. The Customer is liable for loss, theft and damage of the Kit while it is in its possession, except for normal wear and tear from proper use. The Customer must promptly notify Holocryptics of any fault, damage or relevant event.

5. Intellectual property

5.1. The Performances, content, software and the control and projection system remain the exclusive property of Holocryptics (or of their respective owners). The Customer is granted a non-exclusive, non-transferable, non-sublicensable licence, limited to the term of the contract and to the Site, to play the Performances through the Kit.

5.2. It is forbidden to copy, record, extract, redistribute or make the Performances available outside the Kit, and to decompile, disassemble or reverse engineer the software or hardware, or attempt to circumvent its protection measures, subject to mandatory limits of law.

5.3. Holocryptics grants no exclusivity over the Performances. Any custom content is governed by the order form or by a separate written agreement.

6. Public performance rights and licences

6.1. The Customer is solely responsible for obtaining and maintaining throughout the term of the contract the licences, permits and authorisations needed for the public playback and performance of the Performances and music at the Site, including those of SIAE and other competent collective management organisations, and for paying the related fees.

6.2. Holocryptics manages only the technology component and the supply of content. The Customer holds it harmless from third-party claims arising from the lack of the licences referred to in this article.

7. Fees and payments

7.1. The Fee and any other sums are stated in the order form and are exclusive of VAT, which is due as required by law.

7.2. Payments are due on the dates stated in the invoices. In case of delay, default interest as provided by Italian Legislative Decree 231/2002 on late payment in commercial transactions accrues without need of formal notice, in addition to Holocryptics' right to suspend the service after notifying the Customer.

7.3. The Fee is due for the whole contractual period even if the Customer does not use the service.

8. Confidentiality

8.1. Each party treats as confidential the non-public commercial, technical and organisational information received from the other (including economic terms, technical operation and unreleased content) and uses it only to perform the contract. It does not disclose it to third parties without the other party's written consent, except to its employees, collaborators and advisers bound by a similar obligation, or where required by law or an authority.

8.2. The obligation lasts for the whole contract and for 3 years after its end, and does not concern information that is or becomes public through no fault of the recipient.

9. Personal data protection

Each party processes the personal data it learns of in the relationship as an independent controller and in compliance with the GDPR. Information on how Holocryptics processes data is in the Privacy Policy.

10. Warranties and exclusions

10.1. Holocryptics warrants that the Kit is delivered in working order and operates in accordance with the specifications stated in the order form and in the information given to the Customer.

10.2. Third-party hardware or components (for example projectors, computers and cables from third-party manufacturers) are covered only by their manufacturers' warranties, which Holocryptics undertakes to enforce on the Customer's behalf within the limits allowed. Holocryptics gives no other warranties, express or implied, of fitness for a particular purpose, except those mandatory by law.

10.3. The service may be interrupted due to maintenance, network or supplier faults, or causes not attributable to Holocryptics. Holocryptics undertakes to restore it with reasonable diligence and to minimise interruptions.

11. Limitation of liability

11.1. To the extent permitted by law, Holocryptics' total liability for any damage arising from the contract, on whatever basis, may not exceed the Fees actually paid by the Customer in the 12 (twelve) months preceding the event that caused the damage.

11.2. Holocryptics is not liable for indirect or consequential damages, nor for loss of profits, revenue, goodwill or business opportunities of the Customer.

11.3. No limitation applies to damage caused by Holocryptics' wilful misconduct or gross negligence, nor where the law does not allow liability to be limited.

12. Termination and return of the hardware

12.1. Either party may terminate the contract by written notice in case of a serious breach by the other party that is not remedied within 15 (fifteen) days of a written demand to comply.

12.2. Holocryptics may also terminate the contract with immediate effect, under Article 1456 of the Italian Civil Code, by giving written notice that it intends to rely on this clause, in the cases of: (a) non-payment of the Fee or other sums more than 15 days after the due date and after written notice; (b) breach of Articles 3, 5 or 6; (c) improper use, tampering or wilful or grossly negligent damage to the Kit; (d) transfer or making the Kit available to unauthorised third parties.

12.3. On termination of the contract, for whatever reason, the Customer stops all use of the Kit and the Performances and returns the Kit to Holocryptics, in the condition in which it received it apart from normal wear and tear, within 10 (ten) days of the request, with return costs borne by the Customer in case of termination for its fault. For each day of delay the Fees for the period of non-return remain due. The Customer also pays what is owed up to termination.

13. Force majeure

Neither party is liable for non-performance caused by events beyond its reasonable control (for example disasters, orders of authorities, power or telecommunications outages, strikes), for the duration of the event. This clause does not release from the obligation to pay sums already due.

14. Assignment and subcontracting

The Customer may not assign the contract or the rights arising from it without Holocryptics' written consent. Holocryptics may entrust part of the activities to third parties (for example transport, support or hosting), remaining responsible to the Customer.

15. Communications

Communications relevant to the contract (notice of non-renewal, demand, termination) are made in writing by PEC or registered letter with return receipt to the addresses stated in the order form. Operational communications may be made by email.

16. Amendments, entire agreement and partial invalidity

Amendments to the contract are valid only if in writing and signed by the parties. Holocryptics may update these general conditions for new relationships and, for existing ones, at each renewal with at least 60 days' written notice, the Customer being entitled to give notice of non-renewal under Article 2. If a clause is declared null or ineffective, the others remain valid.

17. Governing law and jurisdiction

The contract is governed by Italian law. For any dispute concerning validity, interpretation, performance or termination the Court of Turin has exclusive jurisdiction, unless otherwise stated in the order form.

18. Specific approval of clauses

For the purposes of Articles 1341 and 1342 of the Italian Civil Code, the Customer declares that it has read and specifically approves the following clauses: Art. 2 (term, automatic renewal and notice); Art. 3 (ownership and use of the hardware, limits on assignment and relocation); Art. 4.3 (responsibility for the Kit); Art. 5.2 (prohibition of copying and reverse engineering); Art. 6 (licences and indemnity); Art. 7.2 (interest and suspension of the service); Art. 10 (warranties and exclusions); Art. 11 (limitation of liability); Art. 12 (express termination and return of the hardware); Art. 14 (assignment); Art. 16 (amendments); Art. 17 (governing law and exclusive jurisdiction). The specific signature is given in the order form.
